Wholesale Terms and Conditions
Prices /
Prices are those ruling at the date of dispatch ex warehouse. Unless otherwise stated, prices listed online are inclusive of GST.
Claims and Returns /
Vincent will not recognise a claim for the return of non-faulty goods unless customer makes a claim within 14 days of receipt of the goods and quotes the invoice number.
Terms of Payment /
The customer must pay within 30 days of date of invoice. If Vincent becomes subject to any penalties or interest resulting from the late payment of GST because of the customers failure to comply with this cause, then the customer must pay on demand to Vincent an additional amount equal to the amount of those penalties and interest (interest is calculated at 1% per month until payment in full is received by Vincent)
Delivery /
Vincent will endeavour to comply with the customer delivery instructions. Vincent shall not be liable for loss, damage or injury incurred by the customer due to late delivery or misdelivery of the goods. Freight is chargeable on all orders. Backorders are dispatched automatically, unless Vincent is notified in writing.
Title /
Vincent remains the legal and beneficial owner of the goods and each of the goods until the customer pays Vincent the purchase price and all other moneys the customer owes Vincent, including any interest ("payment in full"). Until payment in full, the goods are held in trust by the customer as a fiduciary, the customer must store and display the goods on its premises so that they are separately identifiable from the goods owned by the customer and the customer must not represent to any person that the customer owns the goods nor allow the goods to become the subject of any mortgage, charge or other security interest. Not withstanding clause 5.2, the customer may sell and deliver the goods to a third party in the ordinary course of its business provided that:
if the customer is paid for the goods by the third party, the customer will hold the sale proceeds on trust for Vincent seperate from its own money; and
if the customer is not paid by the third party to Vincent immediately upon written request from Vincent to do so. The customer shall be regarded as in default if it:
does not make payment in full when due:
becomes insolvent, or a receiver, receiver and manager, liquidator, provisional liquidator, administrator, or bankruptcy trustee is appointed to the customer:
deals with the goods otherwise than in accordance with this agreement.
If the customer is default then Vincent may (without prejudice to any of its rights or remedies) recover possession of or resell the goods or both and may enter upon any premises at which the goods may be located for that purpose.
The onus of proving its ownership of any goods is the customers and all goods in the customers possession are deemed to belong to Vincent and until the customer can prove otherwise.
Notwithstanding the provisions of this clause 5, the goods shall remain at the sole risk of the customer from the time of delivery to the customer by Vincent and the customer agrees to ensure the goods against all risks for the full replacement value of the goods from the time of delivery.
Limitation of Liability of Vincent /
Except as expressly provided to the contrary, all terms, conditions, warranties, undertakings, inducements or representations whether expressed, implied, statutory, or otherwise relating in any way to the goods or to these conditions of sale are excluded. Without limiting the generality of the previous sentence Vincent shall not be liable to the customer for any loss or damage (including consequential loss or damage) however caused and whether directly in respect of the goods or any failure or omission by Vincent to comply with its obligations hereunder.
Nothing herein shall exclude, restrict or modify any condition, warranty or liability which may at any time be implied by any Trade Practises, Fair Trading, Sale of Goods or Credit legislation or regulation or any other state or federal law where to do so illegal or would render any provision of these conditions of sale void. Where permitted by the legislation, Vincent's liability in respect of any such provision shall be limited at the option of Vincent to:
the replacement of the goods or the supply of equivalent goods;
the repair of the goods;
the payment of the goods of replacing the goods or of acquiring equivalent goods;
the payment of the cost of having the goods repaired.
Without limiting the customers rights under clause 6.2, if goods have been damaged in transit that the customer may return those goods to Vincent within 21 days of receipt of the goods and Vincent will grant the customer credit for those goods if the customer has complied with all of Vincent's conditions and procedures as advised to the customer from time to time.
Important Notice to the Applicant for Credit (Section 18e(8)(c) Privacy Act 1988) /
Vincent may give information about you to a credit reporting agency, but only limited kinds of information allowed by the Privacy Act. This includes; identity details - this only includes your name, sex, date of birth, current known address, two immediately previous addresses, your current or last known employer, your drivers license number, the fact you have applied for credit and the amount, the fact that Vincent is a credit provider to you.
